1. How the GenAI Program Works
As part of the GenAI Program, you allow us to use your content in connection with generative AI models as described in Section 2 (License Grants), and you get access to our generative AI-powered tools (“GenAI Tools”) as described in Section 4 (Your Use of GenAI Tools).
You will automatically be included in the GenAI Program, unless you opt out during the designated annual periods (“Annual Periods”) as described in Section 6 (Opting Out of the GenAI Program). For instructors included in the GenAI Program, Udemy has sole discretion to determine which of your Submitted Content to use or not use as part of the GenAI Program and may do so at any time, with or without notice to you.
2. License Grants
You grant Udemy the rights to use your Submitted Content as detailed in the Terms. Pursuant to those rights and unless you opt out of the GenAI Program, you agree that Udemy also has the right and license to use your Submitted Content, and your Input and Output as described below, to: (i) apply, develop, and improve generative AI models; and (ii) create derivative works using generative AI models (“Generated Content”). You agree that Udemy's rights to use your Submitted Content also apply to Generated Content.
If you do not want Udemy to use your Submitted Content in connection with generative AI models, you can opt out of the GenAI Program as described in Section 6 (Opting Out of the GenAI Program).
3. Revenue Share
If Generated Content forms part of a product or service for which Udemy charges individual consumers or business customers, including private, public, non-profit, and government organizations (“Paid Services”, and the individual consumers and business customers, “Customers”), then revenue generated from the Paid Service will be shared with instructors participating in the GenAI Program. Where Generated Content can be attributed to an instructor’s Submitted Content, and compensation for the Paid Service is based on a proportional consumption model (as with Udemy Business), such instructor (or instructors) will receive appropriate credit for the consumption of such Generated Content by Customers. To learn more about instructor compensation related to the GenAI Program, visit our Teaching Center article.
Udemy may update this Section 3 (Revenue Share) to reflect new methods of allocation that better align with Customer consumption of Generated Content attributable to an instructor’s Submitted Content.
4. Additional Terms for Your Use of GenAI Tools
4.1 Instructor Obligations
You are responsible for all content associated with your use of the GenAI Tools, including any text you type in or content you upload (“Input”) and the corresponding content you generate (“Output”). You are responsible for ensuring that your Input and Output complies with this GenAI Policy before using or sharing it. You are also responsible for reviewing your Input and Output to confirm its appropriateness, accuracy, suitability, compliance with relevant laws and regulations, and to ensure that it does not infringe upon or violate the rights of others.
In addition to the restrictions and obligations listed in the Terms (including Udemy’s Trust & Safety policies), you may not: (i) use the GenAI Tools or resulting Output in a manner that violates the Terms or any applicable laws or regulations, including the infringement or violation of the rights of others; (ii) represent that the Output was human-generated when it was not; (iii) use the GenAI Tools for any purpose other than to generate content to be made available on Udemy’s platform; (iv) submit any Input that contains personal or sensitive information; (v) use the GenAI Tools to automatically or programmatically extract data or Output; or (vi) use the GenAI Tools or Output to create or improve AI models that compete with Udemy.
4.2 Disclaimers
The GenAI Tools are provided to you on an “as is” basis. Udemy does not make any warranty regarding the results obtained from using the GenAI Tools, the accuracy or uniqueness of the content, or the suitability for your needs of any information obtained through the GenAI Tools. You understand and agree that any information obtained through the GenAI Tools is at your sole risk.
5. Ownership
Udemy does not claim ownership rights in any of your Input or Output resulting from your use of the GenAI Tools. As between you and Udemy, you retain ownership of Input and Output created by you while using the GenAI Tools.
Except for your Input and Output as covered above: (i) if Generated Content can be attributed solely to your Submitted Content, then as between you and Udemy, you will retain ownership of the Generated Content; and (ii) if Generated Content cannot be attributed solely to your Submitted Content, then you may not use it on any site or service not owned and operated by Udemy.
6. Opting Out of the GenAI Program
You can opt out of the GenAI Program through the GenAI Program page of your instructor settings during the Annual Periods designated by us. New instructors who sign up to become an instructor on Udemy can also opt out of the GenAI Program before the publication of their first course. Instructions on how to opt out are available on our Support page.
If you opt out of the GenAI Program, Udemy will remove your Submitted Content from the GenAI Program by the end of the calendar year in which you opt out. This means that, except as described below, Udemy will stop applying generative AI models to your Submitted Content. Udemy will also stop using your Submitted Content to develop or improve generative AI models. Further, Udemy will regenerate or otherwise discontinue using any existing generative AI models previously developed or improved by us using your Submitted Content. To the extent that we can attribute Generated Content to your Submitted Content, we will no longer use it. However, any user who was provided with the Generated Content prior to your opt out will continue to be able to access that Generated Content.
Opting out of the GenAI Program does not impact Udemy’s ability to apply generative or non-generative AI models to, or develop or improve non-generative AI models on, your Submitted Content to support the core capabilities of the Services. “Core capabilities” are those needed to support the effective delivery of the Services, such as search and recommendations. Udemy may also apply generative AI models to your Submitted Content, regardless of your opt out status, during initial pre-release testing phases in 2024. Udemy will stop applying generative AI models to Submitted Content of opted-out instructors and will ensure that such Submitted Content is excluded from our generative AI features prior to any public launch to Customers. For courses with co-instructors, the participation status of the course owner will prevail. To learn more about these exceptions, visit our GenAI Instructor Program FAQs.
You will continue to have access to the GenAI Tools and Udemy will continue to pay you revenue share based on the then-current rates until your Submitted Content is removed from the GenAI Program.
